M3 STUDIOS MEMBERSHIP AGREEMENT

1. PARTIES AND WHAT GOVERNS
This Membership Agreement is between you and Meta Music Media Inc, also known as M3 Studios, a Texas corporation located at 4503 Spring Cypress Road, Suite B5, Spring, TX 77388. This Agreement together with our Terms of Service at metamusicmedia.com/pages/terms-of-service governs your membership. For any recording session you book as a member, our Artist Session Agreement at metamusicmedia.com/pages/artist-session-agreement also applies and controls the recording, credit, and SoundExchange terms. This Membership Agreement controls only for membership-specific matters.
2. YOUR MEMBERSHIP AND WHAT IS INCLUDED
Your plan name, price, billing cycle, and included monthly sessions and benefits are as stated in the membership product listing at the time you subscribe. Membership is personal to you and is non-transferable. Sharing membership access with non-members is grounds for termination of the membership without refund.
3. RECURRING BILLING AND AUTO-RENEWAL
Your membership renews automatically and is billed on a recurring basis (monthly unless the listing states a different cycle) to your payment method on file, at the price shown in the listing at the time you subscribe. You will be charged that plan price automatically each billing cycle until you cancel, and we disclose the amount and cycle to you before you subscribe. By subscribing, you authorize Company to charge that amount automatically each cycle until you cancel. Company honors the disclosure, consent, and cancellation requirements of applicable automatic-renewal laws as described in the Terms of Service.
4. SESSION ALLOTMENT AND SCHEDULING
Included sessions are allotted per billing period and are scheduled through the studio booking system, subject to availability. Unused sessions for a billing period are used within that period and do not roll over to a later period, unless the membership listing expressly states otherwise. The studio rules, conduct, scheduling, and late-arrival terms in the Terms of Service apply to every member session.
5. CANCELLATION
You may cancel your membership at any time. Cancellation takes effect at the end of the current paid billing period, and you keep member access and benefits through the end of that period. There are no partial-period refunds.
6. PRICE CHANGES
Company may change membership pricing on thirty (30) days written notice. Continued membership after the notice period takes effect is acceptance of the new price.
7. PAYMENT AUTHORIZATION, CHARGEBACKS, AND DISPUTES
If you have a concern about a charge, contact Company first at info@metamusicmedia.com before initiating any chargeback or payment dispute. A chargeback or dispute on a billing period you used or benefits you received is a material breach, and the Chargeback and Payment Dispute Terms in the Terms of Service apply in full, including your liability for the amount, processor fees, and reasonable collection costs, suspension of service, and use of records as evidence. Nothing in this Agreement waives any right you cannot waive by law.
8. RIGHT TO REFUSE OR SUSPEND
Company may decline, suspend, or terminate a membership consistent with the Terms of Service, including its right-to-refuse and termination-for-misconduct provisions, for reasons including non-payment, suspected fraud, an abusive or fraudulent chargeback history, or misconduct.
9. ALL OTHER TERMS
All other terms, including the warranty disclaimer, limitation of liability, indemnification, binding arbitration and class-action and jury-trial waivers, governing law and venue, file retention, portfolio and likeness use, and intellectual property, are governed by the Terms of Service, and for recorded sessions by the Artist Session Agreement. If a conflict arises, this Membership Agreement controls for membership-specific matters and the Artist Session Agreement controls for recording matters.
10. ACCEPTANCE
You accept this Membership Agreement electronically when you subscribe at checkout. Your name, email, the acceptance timestamp, and the order record together constitute your electronic signature under the federal E-SIGN Act (15 U.S.C. § 7001) and the Texas Uniform Electronic Transactions Act (Tex. Bus. & Com. Code Ch. 322).
